Terms of use
Last updated: 14 October 2026
This is a translation of the German terms of use. If the two versions differ, the German version prevails.
§ 1 Provider and scope
- The Shopify app “Kurswacht Invoice” (the “App”) is provided by Robin Schmitt, Schmitt IT (sole proprietorship), Deutschhausplatz 1a, 55116 Mainz, Germany, email hello@kurswacht.com (the “Provider”).
- These terms apply to the use of the App by Shopify merchants (the “Merchant”). The App is intended exclusively for businesses within the meaning of § 14 of the German Civil Code (BGB).
- Shopify’s terms for app use and billing apply in addition. The Merchant’s own terms do not apply.
§ 2 Services
- The App creates invoices and credit notes from Shopify orders as PDF/A-3 with embedded ZUGFeRD/Factur-X XML (profile EN 16931) and a validation report, provides customer download links and offers exports. The current scope of features is described in the App Store listing.
- Every document is based on the order data in Shopify, in particular line items, prices, tax rates, discounts, shipping and addresses. The App does not determine tax rates of its own.
- This version does not include, in particular: an online connection to accounting software (exports, including in DATEV format, are included), booking of payments or payouts, UBL export, sending via Peppol, submission to public-sector invoice portals, an email service operated by the App (emails are sent only optionally through the Merchant’s own mailbox), dunning and pro forma invoices. The Merchant switches on optional features such as XRechnung, the VIES check and email sending and is responsible for their settings; the tax and legal decision remains with the Merchant.
- The Provider may develop and change the App as long as the core purpose of the contract is preserved and the change is reasonable for the Merchant.
§ 3 Conclusion and term of the contract
- The contract is concluded when the App is installed and a plan is selected in the Shopify admin.
- It runs for an indefinite period and ends when the App is uninstalled. Plan changes are made through Shopify.
§ 4 Prices and billing
- The plans published in the App Store listing apply. Billing takes place exclusively through Shopify’s billing system.
- Every finally issued invoice and credit note counts as a document. Documents beyond the included volume are charged at the per-document price of the selected plan. Previews do not count.
- Paid plans include a free trial of 30 days where stated in the listing. No document fees arise during the trial; these documents are neither charged later nor deducted from the included volume of the first billing period.
- The plan or its expiry does not block the creation of invoices and credit notes.
- Prices are stated in US dollars. If the shop has a different Shopify billing currency, Shopify converts at the current rate including its conversion fee.
- The Provider announces price changes through Shopify with 30 days’ notice.
§ 5 Merchant’s obligations
- The Merchant is responsible for the correctness of its information and settings, in particular seller details, VAT ID and tax number, number ranges and starting numbers, the automation start date, automation filters, the handling of 0 % cases including notice texts, the split of shipping tax and the tax settings in Shopify.
- The Merchant reviews the issued documents to a reasonable extent, in particular the first test document and new groups of cases (for example export or reverse charge).
- The Merchant ensures that the same orders are not numbered at the same time by another app or system.
- The statutory retention of invoices and credit notes (for example under § 14b UStG, § 147 AO, § 257 HGB) is the Merchant’s responsibility. The Merchant exports its archive regularly and in any case before uninstalling.
- The Merchant informs its customers about the processing by the App in its own privacy policy.
§ 6 No tax or legal advice
The App is a technical tool. It does not replace tax or legal advice and does not warrant that a document meets all tax or legal requirements in the individual case. The Merchant clarifies questions about tax treatment with its tax advisor.
§ 7 Availability
- The Provider strives for high availability but does not owe any specific availability. There is no service level agreement.
- The Provider announces maintenance in advance where possible.
- The App depends on Shopify and on the hosting provider. Outages there are beyond the Provider’s control.
- Order events received during an outage are processed after recovery, insofar as Shopify delivers them again or the App finds them during its regular reconciliation of paid orders.
§ 8 Data and data protection
- For customer data the Provider acts as processor. The Data Processing Agreement (https://kurswacht.com/en/dpa/) and the App’s privacy policy (https://kurswacht.com/en/privacy/app/) apply.
- After uninstallation the App deletes all data of the shop as soon as
Shopify sends the
shop/redactdeletion request (48 hours after uninstalling). Recovery is not possible afterwards.
§ 9 Liability
- The Provider is liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, under the German Product Liability Act and insofar as it has given a guarantee.
- In the event of a slightly negligent breach of an essential contractual obligation, the Provider is liable only for the foreseeable damage typical for the contract. An obligation is essential if its fulfilment makes the proper performance of the contract possible in the first place and the Merchant may regularly rely on its fulfilment.
- Otherwise, liability for slight negligence is excluded.
- Except in the cases of no. 1, the Provider is liable for loss of data only to the extent that the loss would also have occurred if the Merchant had exported its documents regularly (§ 5 no. 4).
- These limitations also apply to the Provider’s vicarious agents.
§ 10 Changes to these terms
The Provider may change these terms with effect for the future. It informs the Merchant at least 30 days in advance. If the Merchant continues to use the App after the changes take effect, the changed terms apply; the Provider points this out in the notice.
§ 11 Final provisions
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- Place of jurisdiction is Mainz, Germany, insofar as legally permissible.
- Should a provision be invalid, the rest of the contract remains valid.
